  • Introduction

Objective: These Terms and Conditions govern the use of the "Virtual Community" by Accelerant Media Group and its members, including Ignite and Elevate.  These Terms and Conditions serve as a legally binding agreement between Accelerant Media Group (the "Company") and the subscriber (the "Member"). This agreement outlines the rules and expectations for participation in the Virtual Community.

Acceptance of Terms: By subscribing to, accessing, or using the services of Ignite and Elevate or the Virtual Community, Members acknowledge that they have read, understood, and agreed to be bound by these terms. If a Member does not agree with any part of these terms, they should not subscribe to or use the services.  If the member is already subscribed and decides that they no longer agree with any part of these terms, they should cancel their membership, and no further payment will be due and no refund will be given.

Privacy Policy: Our collection, use, and disclosure of information obtained from users of our services are detailed in our Privacy Policy, which is incorporated by reference into these Terms and Conditions. By agreeing to these Terms and Conditions, you also agree to the terms of the Privacy Policy.

  • Changes to the Terms of Use

We reserve the right to revise and update these Terms and Conditions at any time without prior notice. By continuing to use our services after those changes are made, you agree to be bound by the revised Terms and Conditions. We encourage you to periodically review the Terms and Conditions for any updates.

  • Eligibility Requirements and Age Restriction

To use the services offered by Ignite & Elevate, you must be 18 years of age or older. By subscribing to or using our services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use our services.

  • Membership and Subscription

Membership Tiers: The program offers Spark, Flame, and Inferno membership tiers, each with specific benefits, as described on our website and offer checkout pages.  Benefits can change at any time for any reason without notice.

Subscription Fees: A one-time initiation fee and a recurring monthly fee are required for membership. Fees vary by tier, as stated on the website and offer checkout pages.  Pricing can change at any time for any reason without notice.

Payment Terms: Members must pay via accepted payment methods. Billing occurs monthly. Late payments may result in suspension or termination of membership, up to the discretion of the Company.

Membership Modification: Ignite & Elevate reserves the right, at its sole discretion, to modify, suspend, or discontinue any part of our services at any time with or without notice. Ignite & Elevate will not be liable to members or any third party should it exercise such rights. No refunds will be given for any membership one-time or recurring membership payments that have already been processed.

  • Program Structure and Offerings

Program Description: The Virtual Community and Ignite and Elevate offer interactive sessions, workshops, and networking opportunities in line with Accelerant Media Group's mission.

Tier-Specific Offerings: Each tier includes different features, based on the Spark, Flame, or Inferno membership tier that the member joined. Tier-specific offerings can change at any time for any reason without notice.

Additional Features: The program includes member challenges, networking events, and mentorship opportunities.

  • Changes in Membership

Upgrading/Downgrading: Members can upgrade or downgrade their tiers at any time.  To upgrade, the Member will be required to pay the difference in the one-time fee, plus the new monthly recurring membership fee.   To downgrade, the Member can move to a lower tier membership and will be required to pay the new lower monthly recurring membership fee, but no additional one-time fee.  The Member can then upgrade again at any point to a tier they already were previously at, and will not need to pay any additional one-time fee to do so.  If a Member cancels their membership, they will have to pay in full to rejoin, including any one-time fee and monthly recurring membership fee.

Cancellation Policy: Members may cancel their membership at any time. Initiation fees and monthly fees already paid are non-refundable. There will be no refunds guaranteed for any user for any reason.

Rejoining Policy: Members wishing to rejoin after cancellation must pay the initiation fee again.

  • Use of Services

Member Conduct: Members are expected to conduct themselves professionally and respect other members and program staff.

Intellectual Property: All program content is owned by Accelerant Media Group and is for personal, non-commercial use only, unless deems acceptable by the Company.

Confidentiality: Members must maintain the confidentiality of program content and member information.

  • Intellectual Property Rights Clarification

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from Ignite & Elevate without prior written permission from us. This includes, but is not limited to, training materials, videos, graphics, and textual content.

  • Account Security and Responsibility

You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify Ignite & Elevate immediately of any unauthorized use of your account or any other breach of security. Ignite & Elevate will not be liable for any loss or damage arising from your failure to comply with this security obligation.

  • Disclaimers and Limitations of Liability

No Guarantee: Outcomes from participation in the program are not guaranteed.

Limitation of Liability: The company's liability in connection with the program is limited to the extent permitted by law. The Company will not be liable for any expenses or fees prior to three months prior to when the Member expresses damages to the Company via mail or email.

Indemnification: Members agree to indemnify the company against claims arising from their violation of these terms or misuse of the program.

TO THE FULLEST EXTENT PERMITTED BY LAW, IGNITE & ELEVATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. IGNITE & ELEVATE MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE'S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THIS SERVICE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE.

You agree to defend, indemnify, and hold harmless Ignite & Elevate, its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or from or in connection with any content you submit, post to, or transmit through the Service.

  • Refunds and Financial Matters

No Refund Policy: All initiation fees and monthly fees are non-refundable under any circumstances.

Automatic Renewal: Membership fees are automatically renewed each month unless the Member cancels.

Pricing Changes: The company reserves the right to change pricing at any time for any reason without notice.  Pricing changes will be posted on the Ignite and Elevate website, and Members ill be emailed if their membership fee will change.

  • Termination of Membership

Company's Right to Terminate: The company may terminate a membership at any time for any reason, effective immediately.

Effect of Termination: Upon termination, the member loses access to the program and its benefits.

No Refund Policy: All terminations will result in no refunds.  If the Company cancels the membership of a Member, then the Member’s most recent recurring payment to the Company will be refunded.  No additional refund amount will be given.

  • User Contributions

By posting, uploading, inputting, joining video or virtual calls, providing, or submitting any submissions, you are granting Ignite & Elevate, our affiliated companies, and necessary sublicensees permission to use your contributions in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission; and to publish your name in connection with your Submission. No compensation will be paid with respect to the use of your Submissions or Contributions, as provided herein. Ignite & Elevate is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in Ignite & Elevate's sole discretion. By posting, uploading, inputting, providing, or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions. When you make any contributions or submissions to any forums or channels under temporary or permanent control of Ignite & Elevate and its affiliated companies, such as comments, posts, or other materials, you hereby grant Ignite & Elevate a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose. You represent and warrant that you own or control all rights in and to the contributions and have the right to grant the license stated above to us.

  • Dispute Resolution

Governing Law: These terms are governed by the laws of Tennessee.

Arbitration Clause: Any dispute or claim relating in any way to your use of Ignite & Elevate's services will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.

Class Action Waiver: Members waive the right to participate in class action lawsuits against the company.

Required Process For Dispute Resolution: In the event of a dispute arising out of or in connection with this contract, the parties shall endeavor to resolve the dispute through the following sequential process: (1) Good Faith Negotiation: The parties agree to first attempt to resolve the dispute through good faith negotiation within thirty (30) days, unless a different length of time is agreed on by both parties in writing, email, or SMS message. (2) Mediation: If negotiation fails, the parties agree to proceed to mediation within ninety (90) days after the failed negotiation, unless a different length of time is agreed on by both parties in writing, email, or SMS message. (3) Arbitration: Should mediation fail to resolve the dispute, the parties agree to arbitration within ninety (90) days after the failed negotiation, unless a different length of time is agreed on by both parties in writing, email, or SMS message. (4) In the event that these dispute resolution efforts are unsuccessful and the matter proceeds to trial, the parties hereby expressly waive and relinquish any right to a jury trial. This waiver applies to any trial proceeding arising out of or related to this Agreement. It is made knowingly, willingly, and voluntarily by the parties and is intended to encompass every issue that may be subject to trial by jury. Each party shall bear their own costs and expenses incurred during the negotiation, mediation, arbitration, and, if necessary, trial process.

  • Miscellaneous

Amendments: The company may modify these terms without notice to members.

Severability: If any part of these terms is unenforceable, the rest remains effective.

Entire Agreement: These terms constitute the entire agreement between the member and the company.
